1. Acceptance of Terms
By accessing or using the Taskerio service (the "Service"), you agree to comply with and be bound by these Terms of Service (the "Terms"). If you do not agree to the Terms, you must not use the Service. Taskerio reserves the right to update the Terms at any time, and your continued use of the Service constitutes acceptance of those changes.
2. Description of Service
Taskerio provides a software-as-a-service (SaaS) platform for task management and productivity optimization. We may modify, suspend, or discontinue the Service at any time, with or without notice, and we will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information when registering for an account. You are responsible for maintaining the confidentiality of your login information and for any activities that occur under your account.
Taskerio reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter is inaccurate, not current, or incomplete.
4. Acceptable Use Policy
You agree not to misuse the Service. Misuse includes, but is not limited to:
- Violating any local, state, national, or international law or regulation.
- Engaging in illegal or unauthorized activities, such as distributing malware, hacking, phishing, or spamming.
- Using the Service to infringe upon any intellectual property or privacy rights of others.
- Attempting to interfere with, disrupt, or damage the Service or any user’s access to the Service.
- Impersonating any person or entity or otherwise misrepresenting your affiliation with a person or entity.
Taskerio reserves the right to terminate or suspend any account at its sole discretion, for any reason or no reason, with or without notice, including if we believe you have violated this Acceptable Use Policy or any other part of these Terms.
5. Payment Terms
Taskerio offers both free and paid subscription plans. If you subscribe to a paid plan, you agree to pay all fees associated with the plan you select. All fees are non-refundable, except as otherwise explicitly stated in these Terms or required by law.
Taskerio reserves the right to change the subscription fees for any paid plan at any time upon prior notice.
6. Termination and Suspension
You may terminate your account at any time by contacting support. Upon termination, your right to use the Service will cease immediately.
Taskerio reserves the right to terminate or suspend your account and access to the Service, at its sole discretion, for any reason or no reason, with or without notice, including for:
- Violating these Terms.
- Non-payment of fees for paid subscriptions.
- Any behavior that we determine to be harmful to the Service or other users.
7. Intellectual Property
All content, software, and materials available on the Service, including but not limited to logos, trademarks, and user interfaces, are the intellectual property of Taskerio or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
You may not modify, reproduce, distribute, or create derivative works of any content from the Service without prior written consent from Taskerio.
8. Third-Party Services
The Service may contain links to third-party websites or services. Taskerio is not responsible for the content or practices of any third-party websites or services, and you use these services at your own risk. Your interactions with third-party services are governed by their own terms and privacy policies.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Taskerio makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, Taskerio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Service.
- Any bugs, viruses, or harmful components transmitted through the Service.
In no event shall Taskerio’s aggregate liability for all claims related to the Service exceed the greater of one hundred US dollars (USD $100) or the amount you paid Taskerio in the last twelve months for the Service.
11. Indemnification
You agree to indemnify and hold harmless Taskerio, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of another party, including intellectual property rights or privacy rights.
12. Dispute Resolution
Any disputes arising out of or related to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration will take place in Paris, France, and the decision of the arbitrator will be final and binding.
In agreeing to this arbitration provision, you waive any right to a trial by jury or to participate in a class action lawsuit. The arbitration will be conducted in the French language, under French law.
If arbitration is not permissible under applicable law, disputes will be settled in the courts of Paris, France.
14. Modifications to the Terms
Taskerio reserves the right to modify these Terms at any time. If we make significant changes, we will notify you either through the Service or via email. Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes.
